Terms of Service

Welcome to ProcessAIQ. These Terms of Service ("Terms") govern your access to and use of the ProcessAIQ platform, website, and services (collectively, the "Service") operated by J & J Howard Enterprises LLC, an Arizona limited liability company doing business as ProcessAIQ ("ProcessAIQ," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, purchasing a report, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

ProcessAIQ is an AI-powered process assessment platform that analyzes business processes and generates reports indicating opportunities for AI automation. The Service uses proprietary methodology grounded in Six Sigma principles, combined with artificial intelligence, to produce assessments including the AIQ Score and related analysis.

3. AI-Generated Content Disclaimer

IMPORTANT: ProcessAIQ assessments, including the AIQ Score, process journey maps, implementation guidance, vendor recommendations, risk assessments, and all other report content, are generated by artificial intelligence for informational purposes only. They do not constitute professional consulting advice, guarantees of automation success, certifications, or endorsements of any kind.

Specifically:

  • The AIQ Score is a proprietary metric developed by ProcessAIQ. It is not an industry standard, certification, or guarantee of outcomes.
  • AI-generated recommendations, including verdict classifications (AI Automatable, AI-Assisted, Not Yet Automatable), are estimates based on the information you provide and general AI capabilities at the time of assessment.
  • ProcessAIQ reports should be used as one input among many in your decision-making process. You should independently verify all recommendations and consult with qualified professionals before making business-critical decisions.
  • ProcessAIQ does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
  • The quality of the assessment depends significantly on the accuracy and completeness of the information you provide.

4. User Accounts

To access certain features of the Service, you must create an account by providing your email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Service Tiers and Pricing

ProcessAIQ offers the following service tiers:

  • AIQ Snapshot (Free, $0): AIQ Score, process journey map with verdict badges, and summary recommendations. One-time per process.
  • AIQ Roadmap (Pro, $149): Everything in AIQ Snapshot, plus full implementation guidance per step, time savings estimates, phased roadmap, and a printable process blueprint. One-time per process.
  • AIQ Atlas (Premium, $499): Everything in AIQ Roadmap, plus dollar savings and ROI analysis, vendor recommendations, risk assessment, architecture diagrams, benchmarking, executive strategy package, and an interactive process flow editor. Includes 12-month access to your report.
  • Enterprise ($3,999/month): Up to 15 Premium-level assessments per month. Additional assessments at $349 each. Contact us for details.

Prices are subject to change. Any price changes will not affect assessments already purchased.

5.1 Resubmission Limits

AIQ Atlas includes up to three (3) resubmissions of the same process within 12 months of the original purchase. The Enterprise tier includes up to three (3) resubmissions of the same process per calendar month. Additional resubmissions may be requested at $49 per regeneration, subject to ProcessAIQ's approval. Resubmission limits are enforced at ProcessAIQ's discretion. Repeated requests beyond the included limit, or use in a manner indicating bad-faith use, may result in additional charges, account suspension, or termination per the Acceptable Use Policy.

6. Payment Terms

All payments are processed through Stripe, our third-party payment processor. By purchasing a paid assessment, you agree to Stripe's terms of service. ProcessAIQ does not store your credit card information. Payment is required before delivery of AIQ Roadmap, AIQ Atlas, or Enterprise reports. All prices are in US dollars.

7. Refund Policy

Due to the nature of AI-generated assessments, refunds are available only in the following circumstances:

  • Technical Failure: If the Service fails to generate your report due to a technical error on our end, you will receive a full refund.
  • Materially Incomplete Delivery: If a paid report is generated but is materially incomplete (e.g., missing sections that your tier includes), we will either regenerate the report or issue a full refund at your option.

Refunds are not available for dissatisfaction with assessment results, as the assessment reflects the AI's analysis of the information you provided. Refund requests must be submitted to hello@processaiq.ai within 14 days of purchase. See our full Refund Policy at processaiq.ai/legal/refund.

8. Intellectual Property

8.1 ProcessAIQ IP

ProcessAIQ retains all rights, title, and interest in and to the Service, including the AIQ Score methodology, scoring algorithms, assessment frameworks, AI prompts, report templates, brand assets, and all related intellectual property. Nothing in these Terms grants you any right to use ProcessAIQ's trademarks, service marks, or trade dress.

8.2 Your Data

You retain ownership of all business process descriptions, data, and information you submit to the Service ("Your Data"). By submitting Your Data, you grant ProcessAIQ a limited, non-exclusive license to process, analyze, and store Your Data solely for the purpose of providing the Service to you.

8.3 Report Content

Reports generated by the Service are licensed to you for your internal business use. You may share reports with colleagues, stakeholders, and advisors within your organization. You may not resell, redistribute, or publicly publish reports without ProcessAIQ's prior written consent.

8.4 Aggregated Data

ProcessAIQ may use anonymized, aggregated data derived from assessments to improve the Service, develop benchmarking capabilities, and for research purposes. Such aggregated data will not identify you or your organization.

9. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Submit false, misleading, or fraudulent information
  • Attempt to reverse-engineer, decompile, or extract the underlying methodology, algorithms, or AI prompts
  • Resell, sublicense, or commercially redistribute reports or access to the Service without authorization
  • Interfere with or disrupt the Service's infrastructure
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Impersonate another person or entity
  • Use the Service to develop a competing product or service

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCESSAIQ'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PROCESSAIQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL PROCESSAIQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER PROCESSAIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, ProcessAIQ shall not be liable for:

  • Business decisions made based on AI-generated assessments
  • Automation implementations guided by report recommendations
  • The accuracy of AI-generated time savings, cost savings, or ROI estimates
  • Actions or inactions of third-party vendors recommended in reports
  • Any outcomes resulting from reliance on the AIQ Score or verdict classifications

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROCESSAIQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Indemnification

You agree to indemnify, defend, and hold harmless ProcessAIQ and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any business decisions made based on ProcessAIQ assessments.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at processaiq.ai/legal/privacy.

14. Modifications to Terms

We may modify these Terms at any time by posting revised Terms on the Service. Material changes will be communicated via the email address associated with your account at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Termination

Either party may terminate these Terms at any time. You may terminate by discontinuing use of the Service and requesting deletion of your account. We may terminate or suspend your access if you violate these Terms. Upon termination:

  • AIQ Snapshot reports: Available for 30 days from generation.
  • AIQ Roadmap reports: Available for 12 months from purchase date.
  • AIQ Atlas reports: Available for 12 months from purchase date, subject to the resubmission limits in Section 5.1.
  • Enterprise: Reports available for the duration of your subscription plus 90 days.

After the applicable retention period, your process data and reports may be permanently deleted. We will send a reminder 30 days before deletion of paid reports. You may download PDF copies of your reports at any time during the retention period.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and ProcessAIQ.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision is not a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms. ProcessAIQ may assign its rights in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: ProcessAIQ is not liable for delays or failures caused by circumstances beyond its reasonable control.
